Governance & ESG

You should know how we make decisions

As a publicly listed company and critical national infrastructure provider, KPC is accountable to customers, investors, employees, regulators, communities and the wider public.

Our governance framework is designed to ensure:

  • Clear accountability: who makes decisions and who is responsible.
  • Strong controls: how we manage risk and protect assets.
  • Integrity: how we prevent corruption and unethical conduct.
  • Transparency: how we report our performance.
  • Responsible leadership: how the Board and management oversee the company.

Our Board provides oversight. Management is accountable for delivery. Across the business, governance, risk, ethics and sustainability are built into the decisions that shape our network and our future.

Our ESG approach

Protecting people and the environment

Reducing operational impacts, strengthening safety, protecting natural resources and respecting human rights.

Creating shared value

Developing our people, engaging communities and expanding opportunities through our supply chain.

Protecting long-term value

Managing risk, maintaining asset integrity, operating ethically and making responsible investment decisions. We measure performance, address emerging risks and use evidence to improve how we operate.

ESG oversight

Sustainability is part of how KPC manages the business, not a separate activity. The Board oversees strategy, performance, risk and sustainability. Management translates these priorities into action across operations, projects, people and stakeholder relationships.

Board committees provide focused oversight of areas including:

  • financial performance and audit;
  • risk and internal controls;
  • asset integrity and operational safety;
  • climate and ESG performance;
  • people, wellbeing and succession; and
  • ethics and compliance.

This structure connects what happens on the network with the decisions made at the top of the organisation.

Ethics & integrity

Doing what's right. Always.

Integrity is the foundation of trust. We conduct our business with honesty, transparency and ethical behaviour – always. We do not tolerate fraud, bribery, corruption, conflicts of interest, insider dealing or conduct that undermines public trust.

Our commitment:

  • Zero tolerance for corruption: robust anti-corruption policies and practices.
  • Transparency: clear communication with stakeholders.
  • Accountability: we take responsibility for our actions.
  • Compliance: full adherence to laws and regulations.

Our framework – the Code of Conduct and Ethics, Whistleblower Policy, Anti-Bribery & Corruption Policy and Supplier Code of Ethics – sets clear expectations for employees, directors, suppliers, contractors, consultants and business partners. Our safeguards include:

Risk assessment

Identifying and managing integrity risks before they become problems.

Transparency

Declaring conflicts, gifts and hospitality and maintaining appropriate records.

Due diligence

Applying integrity checks to suppliers, contractors and business partners.

Speak-up channels

Providing protected channels through which concerns can be raised.

Investigation and action

Responding to reported concerns fairly, confidentially and appropriately.

Oversight

Escalating significant matters through management and Board structures.

Asset integrity

The reliability of KPC begins with the integrity of its assets.

We protect pipelines, terminals, depots and pumping stations through inspection, maintenance, monitoring, engineering controls, emergency preparedness and continuous improvement.

We also learn from audits, incidents and near misses to strengthen our controls. The outcome matters beyond the asset itself: safer operations, fewer disruptions, greater customer confidence and better environmental protection.
